The essay analyzes the issue of directors' liability for the negligent management of assets assigned to a specific business. In particular, it analyses the subject of violations of the rules of asset segregation and their possible prejudicial impact not only on creditors, depending on the case, general or business, but also on shareholders. The conclusion reached in relation to this problem is that, in reality - at least when the directors violate the rule of correct allocation of liabilities, allocating to the general assets also liabilities inherent to the specific business - the violation of this rule of conduct is never detrimental to the shareholders, since their position as residual claimants means that they are always subordinated, on the residual assets of the liquidation, even to any creditors of the business that have remained unsatisfied due to the inadequacy of the intended assets, precisely because these latter are also acting as corporate creditors.
Il saggio analizza il tema della responsabilità degli amministratori per la negligente gestione del patrimonio destinato ad uno specifico affare. In particolare si analizza il tema delle violazioni delle regole di separazione patrimoniale e della loro eventuale incidenza pregiudizievole oltre che per i creditori, a seconda dei casi, generali o dell'affare, anche per i soci. La conclusione cui si perviene in relazione a tale problema è che in realtà - almeno quando gli amministratori violano la regola di corretta imputazione delle passività, imputando al patrimonio generale anche passività inerenti allo specifico affare - la violazione di tale regola di condotta non è mai produttiva di danno per i soci, dal momento che la loro posizione di residual claimants fa sì che essi siano sempre postergati, sul residuo attivo della liquidazione, anche ad eventuali creditori dell'affare che siano rimasti insoddisfatti per incapienza del patrimonio destinato, appunto perché anche questi ultimi si atteggiano come creditori sociali.
