Clausola dello star del credere

The credere clause, provided by the article 1736 c.c., is a clause through which the commission agent (who stipulates the contract of sale in own name, but on behalf of the principal) shall guarantee, in exchange for a price, to the principal the due performance of contract of sale by the seller/buyer of contract. According to the article 1715 c.c., the credere clause can be put in the general mandate and, within the limits provided by the paragraph 1743, third paragraph, c.c., in the commercial agency contract. The credere obligation is also provided by the article 2:313 of Principles of European Law, Commercial Agency, Franchise and Distribution Contracts (PEL CAFDC) and by the article 10 of the model form of international agency contract (ICC commercial agency contract).

L'autore analizza, anche nella dimensione sovranazionale, la clausola con la quale il commissionario, dietro corrispettivo, risponde, a prescindere dalla sua diligenza ovvero negligenza, nei confronti del committente per l’esecuzione dell’affare, versando una somma di danaro pari alla perdita ovvero, qualora sia espressamente indicato nella clausola, pari ad una percentuale della perdita subita dal committente (c.d. clausola dello star del credere).
