This study draws from an examination of the text of article 1407 paragraph 2 of the Italian Civil Code, in order to clarify the meaning and the effects of the clause so-called “all’ordine” which is contained in an assignment of contract. After recalling the so-called “stabilito” (which is the historical precedent of the assignment of contract), this study compares the different types of “all’ordine” negotiable instruments and, particularly, those so-called improper instruments that can be transferred by endorsement as the “all’ordine” assignment of contract. Furthermore, this study highlights the effects of the above clause (which effects are realized by endorsement) and, finally, draws some comments on its form.
L’indagine muove dal dato normativo contenuto nell’art. 1407, comma 2, c.c., al fine di chiarire il significato e gli effetti della clausola “all’ordine” che afferisce al negozio di cessione del contratto. Dopo aver richiamato alla memoria la figura dello “stabilito”, antecedente storico della cessione in parola, la riflessione passa attraverso il confronto con i titoli di credito “all’ordine” e, in particolare, quelli ‘impropri’, con i quali la cessione del contratto “all’ordine” condivide la circolazione tramite girata. L’analisi giunge poi alla individuazione degli effetti della clausola, i quali si realizzano mediante la girata, e svolge, infine, alcune osservazioni sulla forma.
