Clausola di garanzia dell'adempimento del contraente ceduto

The survey originates from the regulatory framework laid down in Article 1410, II Italian Civil Code, in order to clarify the subject and the effects of the guarantee agreement for the performance of the transferred debtor, which refers to the legal act of contract transfer. The survey intends to deeply compare both the statutory guarantee of the validity of the transferred contract (Article 1410, I) and the guarantees related to the credit transfer (Articles 1266 and 1267 c.c.), a legal device which comes before the contract transfer from a logical and historical point of view, even though it has different subject and discipline. The analysis finally defines the effects of the agreement, deprived of the discipline of the contract of guarantee in relation to the responsibility of the transferring party.

L’indagine muove dal dato normativo contenuto nell’art. 1410, II c. c.c., per chiarire l’oggetto e gli effetti del patto di garanzia dell’adempimento del debitore ceduto, che afferisce al negozio di cessione del contratto. La riflessione passa attraverso il duplice confronto con la garanzia ex lege della validità del contratto ceduto (art. 1410, I c. c.c.) e con le garanzie in tema di cessione del credito (artt. 1266 e 1267 c.c.), istituto che costituisce l’antecedente logico e storico della cessione del contratto, pur diverso per oggetto e disciplina. L’analisi giunge infine alla individuazione degli effetti del patto, tolti dalla disciplina della fideiussione quanto alla responsabilità del cedente.
